Meditip Code of Ethics

As a professional consulting firm specializing in regulatory and clinical affairs for pharmaceuticals and medical devices, Meditip establishes this Code of Ethics to practice transparent and responsible management grounded in expertise and independence.

This Code of Ethics sets forth the ethical values and standards of conduct to be observed throughout Meditip's management activities, with the aim of realizing transparent and responsible corporate management and securing the trust of stakeholders. All executives and employees shall observe the following ethical standards.

  1. A. Commitment to Customers

    1. Maintaining Expertise and Objectivity
    • We do our utmost to satisfy our customers and secure their trust by providing the highest quality services based on expertise and ethical judgment.

    • All information provided to customers shall be accurate and objective, and we do not disseminate false information, provide exaggerated or distorted explanations, or use misleading expressions.

    2. Compliance with Laws and Regulations
    • We comply with relevant laws and international guidelines, and respect the standards of domestic and international regulatory agencies such as the Ministry of Food and Drug Safety, the FDA, and the EMA.

    3. Customer-Centered Management Principles
    • We regard the opinions and requirements of our customers as important criteria in our management activities.

    • We faithfully fulfill our contracts and commitments with customers, and do not delay or breach them without just cause.

    • We respond accurately and promptly to customers' legitimate service requests.

    • Quality-related complaints, data errors, regulatory response issues, and the like raised by customers are promptly reviewed and addressed in accordance with internal standard procedures, and the results are shared transparently.

    • We build long-term cooperative relationships with customers based on mutual respect and trust.

    4. Protection of Confidentiality
    • All customer information is strictly protected in accordance with relevant laws and contracts, and is neither disclosed externally nor used for purposes other than business without the customer's prior approval.

    5. Transparent Management of Conflicts of Interest
    • We review potential conflicts of interest in advance and, when they arise, disclose them transparently to the customer.

    • We manage the company's financial and management information accurately and faithfully in accordance with relevant laws.

    • We protect the company's assets and do not use them for personal purposes.

    • We establish a reasonable internal control system to prevent and manage management risks.

  3. C. Commitment to Partner Companies and Competitors

    1. Fair Dealing
    • Contracts with partner companies are carried out according to objective and fair criteria, ensuring that personal interests or improper external influences do not intervene.

    • All contracts are concluded based on mutual trust and agreement, and we do not unilaterally change transaction terms or impose unfavorable conditions without just cause.

    2. Fair Competition
    • We respect the market economy order in accordance with the principle of free competition, and pursue fair and good-faith competition based on mutual respect with our competitors.

    • We do not engage in prior consultation or collusion with competitors on matters that may affect fair competition, such as quotations, prices, discount rates, bidding conditions, and the allocation of clients.

    • We do not improperly acquire competitors' trade secrets, and we do not disseminate false information or engage in defamation.

    3. Anti-corruption
    • We reject corrupt trade practices such as rebates, money and valuables, and the provision of improper favors.

  4. D. Commitment to the Nation and Society

    1. National Development and Social Responsibility
    • We contribute to national economic development through job creation and faithful payment of taxes.

    • All taxes levied in connection with our business are reported and paid accurately and transparently in accordance with relevant laws. We do not engage in tax evasion, tax avoidance, or improper tax practices.

    2. Legal Compliance and Socially Responsible Management
    • We perform our work in accordance with the principle of good faith, and respect relevant laws, trade practices, and market order.

    • The company does not intervene in politics and maintains neutrality.

    • We respect society's ethical values and the public interest, and conduct business consistent with public health and safety.

    • We review in advance the social impacts and risks that may arise in the course of conducting business, and make responsible decisions.

    3. Respect for the Environment and Social Values
    • We operate our business with consideration for environmental protection, and comply with relevant environmental laws and regulations.

    • For the safe and healthy working environment of our executives and employees, we provide workspaces equipped with appropriate sanitary facilities, emergency exits and essential safety equipment, and suitable lighting and equipment, and we configure and maintain such facilities in accordance with the standards specified in the applicable norms and laws.

    • We take social value into account through sustainable management activities.

    4. Compliance with Human Rights and Labor Standards
    • We respect internationally recognized human rights principles and labor standards, and under no circumstances do we use coercive means such as forced labor, confinement, corporal punishment, assault, intimidation, molestation, or abuse.

    • We do not do business with workplaces or subcontractors that operate under unpaid or unfair working conditions.

    • We do not discriminate on the grounds of race, color, religion, gender, age, disability, nationality, or any other ground prohibited by law in the process of recruiting, evaluating, and compensating talent.

    • We do not employ minors as defined by relevant laws.

    • We require our partner companies to comply with the same human rights and labor standards, and conduct inspections when necessary.

  5. E. Commitment to the Company (Executives and Employees' Perspective)

    1. Ethical Responsibility and Maintaining Reputation
    • Executives and employees maintain their personal dignity based on high ethical values, and act so as not to damage the company's reputation and trust.

    • The giving or receiving of monetary assistance, gifts, or money and valuables between executives and employees that exceeds the scope generally accepted by social norms is prohibited.

    • We do not engage in acts that may affect the fairness of duties, such as excessive monetary transactions, private loans, or guarantees between executives and employees.

    2. Protection of Company Assets
    • We use the company's funds, information, systems, and intellectual property lawfully and responsibly.

    • We comply with the company's information security policies and maintain the security of computers, networks, and electronic records to prevent cyber breaches, information leaks, and data corruption.

    3. Maintaining Confidentiality
    • Important intangible assets such as the company's trade secrets, technical materials, customer information, and internal strategies shall not be taken outside the company or provided to third parties without the company's prior approval. This obligation continues even after leaving the company.

    4. Fostering a Cooperative Organizational Culture and a Sound Working Environment
    • Executives and employees strive to enhance work performance and efficiency through active mutual cooperation and smooth communication.

    • We do not engage in acts that foster distrust within the organization, such as creating or spreading groundless rumors, forming factions, or fostering an exclusionary organizational culture.

    • When there is talent who can contribute to the company's growth and development, they may be recommended in accordance with open competition and fair recruitment procedures. However, personal interests must not intervene in the recruitment and transaction process.

    • Discrimination, harassment, sexual harassment, and retaliation against colleagues are prohibited, and we respect the dignity and rights of others.

  6. F. Commitment to Executives and Employees (Company's Perspective)

    1. Respect for Talent and Support for Growth
    • The company recognizes all executives and employees as its most important assets, and strives to create a workplace to be proud of where individuals' growth and future are respected.

    • The company recruits competent talent with job competency and ethical awareness through fair procedures, and continuously improves the working environment so that executives and employees can fully realize their potential in a safe and pleasant environment.

    • The company actively encourages education, training, and learning activities for the self-development and enhanced expertise of its executives and employees, and provides the necessary support so that the company and its people can grow together.

    • The company conducts fair and objective evaluation and compensation based on the competency, performance, and contribution of its executives and employees.

    2. Expression of Opinion and Protection of Whistleblowers
    • The company fosters systems and a culture in which executives and employees can freely report, propose, and make suggestions regarding ethical issues and illegal or improper conduct.

    • The company protects the identity of executives and employees who report unethical acts, illegal acts, or violations of internal regulations (hereinafter "whistleblowers"), and ensures that they suffer no disadvantage or retaliation.

    • To protect the confidentiality of whistleblowers, the company operates an internal reporting system (such as a cyber ombudsman) that allows anonymous reporting.

    • Received reports are investigated fairly and confidentially to determine whether there has been a violation of relevant laws, regulations, policies, or procedures.

    3. Investigation of and Action on Illegal and Improper Conduct
    • The company may take necessary measures, such as disciplinary action, against executives and employees who violate the Code of Ethics or relevant laws. The specific types, procedures, and effects of sanctions shall be governed by the rules of employment and relevant internal regulations.

    • To investigate the illegal or improper conduct of executives and employees more objectively and thoroughly, the company may form an investigation committee when necessary, and the composition, authority, and operating procedures of the investigation committee shall be governed by the personnel committee regulations and relevant internal regulations.

    • The investigation committee investigates whether executives and employees comply with relevant laws, internal regulations, and the Code of Ethics, and where a violation is confirmed, promptly recommends or implements necessary measures such as disciplinary action, improvement of internal controls, and reinforced education to prevent recurrence.

    • The executive or employee concerned may file an objection to the company's investigation results and measures in accordance with the procedures set by the company. In such a case, they must clearly state the grounds for the objection and submit relevant supporting materials to make their case.

  7. G. Education for Executives and Employees

    • All executives and employees complete regular training on the Code of Ethics and relevant laws, and new executives and employees perform their duties after becoming familiar with the Code of Ethics and internal regulations.

    • We strengthen specialized training in areas such as regulatory affairs and clinical trials, and continuously conduct anti-corruption-related education.

    • We review the effectiveness of the education and improve its content in line with changes in laws and the industry environment.
